Your relationship with Cinnaminta

1. Your use of the Cinnaminta web site is subject to the terms of a legal agreement between you and Cinnaminta. "Cinnaminta" means Cinnaminta Limited, whose principal place of business is at Unit 311, 31 Clerkenwell Close, London EC1R 0AT, United Kingdom.

2. Your legal agreement with Cinnaminta is made up of (a) the terms and conditions set out in this document and (b) Cinnaminta's Online Privacy Policy (together called the "Terms").

3. The Terms form a legally binding agreement between you and Cinnaminta. It is important that you take the time to read them carefully. You should print off or save a local copy of the Terms for your records.

4. The Terms apply to all users of the Cinnaminta web site, including users who are also contributors of texts and any other materials to Cinnaminta.

Accepting the Terms

5. In order to use the Cinnaminta web site you must first agree to the Terms. You may not use the Cinnaminta web site if you do not accept the Terms.

6. You accept the Terms by using the Cinnaminta web site. You understand and agree that Cinnaminta will treat your use of the Cinnaminta web site as acceptance of the Terms from that point forwards. If you do not accept the Terms, then please leave the Cinnaminta web site immediately. Please note that users who wish to become Cinnaminta Members will be required, as part of the account opening procedure, to confirm by checking a box that they accept the Terms.

7. Cinnaminta reserves the right to add to or change the Terms at any time by posting changes on-line. Your continued use of the Cinnaminta web site after changes are posted constitutes your acceptance of the Terms as modified.

8. IF YOU ARE UNDER 18 YEARS OF AGE YOU MUST OBTAIN YOUR PARENT OR GUARDIAN'S CONSENT THE TERMS ON YOUR BEHALF. THIS INCLUDES OBTAINING YOUR PARENT OR GUARDIAN'S PERMISSION BEFORE YOU SUBMIT ANY MATERIAL TO THE CINNAMINTA WEB SITE.

Content on the Cinnaminta web site

9. All content on the Cinnaminta web site, including, without limitation the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and any content provided by users of the Cinnaminta web site, is either owned by or licensed to Cinnaminta and is subject to copyright, data base right, trade mark rights and other intellectual property rights of Cinnaminta and Cinnaminta's licensors.

General restrictions on use (applies to all users of the Cinnaminta web site)

10. Your use of the Cinnaminta web site is subject to the following express conditions:

• You agree not to copy, download, store in any medium (including any other web site), distribute, transmit, broadcast, show in public, adapt or change in any way any part of Cinnaminta's web site for any other purpose without the prior written permission of Cinnaminta or in accordance with the Copyright, Designs and Patents Act 1988 or other applicable law.
• You agree not to access the Cinnaminta web site for any other reason than non-commercial use.
• You agree to use the Cinnaminta web site only for lawful purposes and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of the site by, any third party.

Additional terms for Cinnaminta Members (paragraphs 11 to 24)

(a) Account opening

11. In order to post requests and content, fulfil requests, upload anything to the Cinnaminta web site and communicate with other users, you will have to become a Cinnaminta Member and create an account. When creating your account you will need to provide your date of birth and email address. You must provide accurate information. You must keep your password secure, and are solely responsible for the activity that occurs on your account.

12. You may not use anyone else's account without their permission.

13. You must notify Cinnaminta at once of any breach of security or unauthorised use of your account. Cinnaminta will not be liable for any unauthorised use of your account.

(b) User Content submitted by Cinnaminta Members

14. Cinnaminta Members may post requests and content ("User Content") for inclusion in the Cinnaminta web site.

15. Cinnaminta is not responsible for, neither does Cinnaminta accept any responsibility for any failure of fulfilling a request and/or a request not being fulfilled within any time or style or location or language preferences set by you.

16. You understand that Cinnaminta does not guarantee any confidentiality with respect to any User Content. Please do not include any personal details for inclusion on the Cinnaminta web site or when communicating with other users if you wish to remain anonymous.

17. Cinnaminta has the right, but no obligation, to edit, post, refuse to post or remove any User Content at its sole discretion and without prior notice to you.

18. Cinnaminta is not responsible for, neither does Cinnaminta accept any liability for, any User Content. Any opinions, advice, statements, offers or other information expressed, made available or contained in User Content are not Cinnaminta but are those of the party concerned. Cinnaminta neither endorses nor is it responsible for the accuracy or reliability of any User Content, and excludes all liability that may arise in respect of such material to the fullest extent permitted by law.

19. By submitting User Content to Cinnaminta, you grant Cinnaminta and all users of Cinnaminta's web site a perpetual, non-exclusive, royalty-free license to copy the User Content, use extracts and abstracts for marketing purposes, download, store in any medium (including any other web site), transmit, broadcast, issue copies of it to the public, rent or lend it, perform it, communicate it to the public, and to make adaptations of User Content and do any of the above acts in relation to such adaptations, throughout the world in all media including but not limited to Cinnaminta's web site.

20. You warrant to Cinnaminta that:

• you have all necessary licences, rights and consents to grant the above rights to Cinnaminta;
• all moral rights in the User Content have been waived to the fullest extent permitted by law;
• use of the User Content in Cinnaminta's web site will not infringe any rights of any person or organisation (including copyright and rights of confidentiality, privacy and publicity);
• the User Content does not contain falsehoods or misrepresentations that may damage Cinnaminta or any other party and it is not abusive, obscene, defamatory, libellous, threatening, contemptuous, pornographic, harassing or racially or ethnically offensive;
• the User Content does not contain anything that would encourage an illegal or unsafe act in your own country or the country of the reading or performance;
• the User Content does not contain anything that would damage Cinnaminta's computer systems or the computers of its users;
• the User Content does not contain any advertisement nor does it solicit any business; and
• the User Content does not contain statements, which encourage or glorify terrorism.

21. You agree that when posting requests you will classify whether their content is suitable for people under the age of 16 years old.

22. Cinnaminta will remove User Content and/or bar access by relevant user(s) if notified that User Content infringes any of the rights described in paragraph 20 above and/or may remove User Content, which has not been classified in accordance with paragraph 21 above . User Content may be removed without prior notice to you.

(c) Copyright Policy

23. Cinnaminta operates a clear copyright policy in relation to any User Content, which is alleged to infringe the copyright of a third party. Details of the Copyright Policy can be found here.

24. As part of Cinnaminta's copyright policy, Cinnaminta will terminate user access to the Cinnaminta web site if a user has been determined to be a repeat infringer. A repeat infringer is a user who has been notified of infringing activity more than twice.

Limitation of liability

25. Cinnaminta provides the material published on its web site on the basis that it makes no express or implied warranties in respect of the material. Cinnaminta and the original providers of the material exclude to the fullest extent permitted by law all liability for any damages or losses and for any direct, indirect, incidental or consequential loss of business, anticipated savings, revenues or profits or goodwill or reputation or special damages or loss arising from the publication of the material on Cinnaminta's web site and further users.

26. Cinnaminta is not responsible for the content of any material you encounter after leaving our site via a link in it or otherwise, and Cinnaminta excludes all liability that may arise in respect of such material to the fullest extent permitted by law.

27. Cinnaminta disclaims all liability for any legal or other consequences (including for infringement of third party rights) of links made to Cinnaminta web site.

28. Cinnaminta endeavors to ensure that all information and material on the web site is correct and accurate but does not accept any liability for errors or omissions, neither does Cinnaminta warrant that use of this site will be uninterrupted.

Governing law and jurisdiction

29. These terms and conditions are governed by and will be interpreted in accordance with English law and any disputes relating to these terms and conditions will be subject to the jurisdiction of the courts of England and Wales. The various provisions of these terms and conditions are severable and if any provision is held to be invalid or unenforceable by any court of competent jurisdiction then such invalidity or unenforceability shall not affect the remaining provisions.
